Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Buyer,” or “Seller”) and Khmer Digital(“we,” “us,” or “our”). By registering an account, browsing products, making a purchase, or listing a product on our platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy.

If you do not agree to these Terms, you must not use Khmer Digital. We reserve the right to update these Terms at any time; continued use of the platform after changes constitutes your acceptance of the revised Terms.

Khmer Digital is a digital product marketplace operating in Cambodia that connects verified sellers with buyers seeking digital goods, including but not limited to software license keys, game accounts, software accounts, digital codes, and similar items (collectively, “Digital Products”).

Khmer Digital acts as the payment collection intermediary. All buyer payments are received byKhmer Digital first. Seller earnings are credited to their platform ledger after a confirmed sale and are subject to the commission described in Section 8.

We do not manufacture, own, or guarantee any Digital Products listed by third-party sellers. We provide the technical infrastructure, payment processing, escrow-style fund holding, and dispute resolution framework.

• You must be at least 18 years old to create an account.
• You must provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at sattyphap@gmail.com of any unauthorized use of your account.
• We may require identity verification before approving seller accounts or processing payouts.
• One person or entity may not operate multiple accounts without prior written approval.
• Accounts registered via Google OAuth are subject to both these Terms and Google's Terms of Service.

4.1 Purchasing

• By placing an order, you agree to pay the listed price in full using the designated payment method before receiving the Digital Product.
• You agree not to initiate chargebacks or payment disputes with your bank before first contacting our support team and completing the dispute resolution process.
• Digital Products are delivered electronically after payment confirmation. Delivery times depend on payment verification.

4.2 Digital Item Reveal

• After confirmed payment, you may reveal your purchased Digital Product (e.g., license key, account credentials). Your IP address, device information, and timestamp are logged at the time of reveal.
• Once a Digital Product has been revealed, it is considered delivered and consumed. Refunds after reveal require a valid dispute under our Refund Policy.

4.3 Prohibited Buyer Behaviour

• Sharing purchased Digital Products publicly or reselling them without seller authorization.
• Providing false payment screenshots or transaction IDs.
• Attempting to reverse-engineer or bypass our payment or delivery system.
• Opening fraudulent disputes after successfully using a Digital Product.

5.1 Seller Registration

• Seller accounts require admin approval. You must submit accurate business information and pass our verification process.
• Approval or rejection is at our sole discretion. Approval for one category does not guarantee approval for all product types.

5.2 Product Listings

• You must only list Digital Products that you legally own or have the right to sell.
• All product titles, descriptions, and pricing must be accurate and not misleading.
• Products must be listed under admin-approved categories.
• We reserve the right to remove any listing that violates these Terms, applicable law, or our content standards, without prior notice.
• Product approval is required before a listing becomes visible to buyers. We may request additional verification for high-value listings.

5.3 Inventory and Digital Secrets

• Sellers must upload valid inventory items (license keys, account credentials, etc.). Inventory secrets are stored encrypted at rest.
• Uploading invalid, revoked, expired, or duplicate inventory items is a material breach of these Terms and may result in account suspension.
• Sellers are responsible for maintaining adequate stock levels and keeping their inventory updated.

5.4 Seller Earnings and Payouts

• Seller earnings are credited to your platform ledger after each confirmed sale, net of the applicable commission (see Section 8).
• Payout requests are subject to admin review and approval. We do not guarantee payout within any specific timeframe.
• We may withhold payouts pending dispute resolution, compliance review, or fraud investigations.
• Sellers must provide accurate payment account information for payouts. We are not responsible for failed payouts due to incorrect details provided by the seller.

5.5 Seller Prohibited Conduct

• Listing counterfeit, stolen, or unauthorized Digital Products.
• Manipulating stock counts or pricing to deceive buyers.
• Conducting transactions outside the platform to evade fees.
• Creating multiple seller accounts to circumvent bans or limits.
• Colluding with buyers to commit fraud against the platform.

All users are prohibited from:

• Violating any applicable Cambodian law or international law.
• Using the platform to distribute malware, phishing content, or illegal software.
• Attempting to hack, overload, or disrupt platform infrastructure.
• Scraping, copying, or redistributing platform data without written permission.
• Impersonating another user, seller, or Khmer Digital staff.
• Using automated scripts, bots, or crawlers without our written consent.
• Engaging in money laundering, fraud, or any financial crime.
• Posting, uploading, or transmitting content that is defamatory, obscene, or violates third-party rights.

Violation of these prohibitions may result in immediate account termination, legal referral, and forfeiture of any pending ledger balances.

• Digital Products are intangible goods delivered electronically. By their nature, they may not be “returned” in the conventional sense once revealed.
• Khmer Digital does not warrant that any Digital Product will function with your specific system, software version, or region.
• Sellers are solely responsible for the validity and quality of their Digital Products.Khmer Digital acts as a platform intermediary, not the product manufacturer or guarantor.
• We reserve the right to verify the authenticity of Digital Products and remove or freeze listings that we suspect contain invalid or fraudulent inventory.

• All prices displayed are in USD or KHR as configured by the seller. Currency conversion rates are indicative and may vary.
• Payments must be made through the checkout methods provided on the platform. We do not accept payments made directly to sellers outside of the platform.
• Platform Commission: Khmer Digital charges a 2% commission on the gross sale price of every completed order item. This is automatically deducted from the seller's ledger credit.
• For each completed order item:
  • gross_amount = sold unit price
  • commission_amount = gross_amount × 2%
  • seller_net_amount = gross_amount − commission_amount
• All payment transactions are logged with idempotency keys. Duplicate payments are identified and refunded or credited appropriately.
• Payment webhooks are verified using cryptographic signatures from our payment provider. We do not process payments based on buyer-submitted screenshots alone.

9.1 Buyer Refund Eligibility

Refunds may be granted in the following circumstances:

• The Digital Product was invalid, expired, or non-functional at time of delivery.
• The delivered item was materially different from what was listed.
• Duplicate payment was confirmed by our payment records.
• Payment was confirmed but inventory was not delivered due to a platform error.

Refunds will not be granted if:

• The buyer changed their mind after the Digital Product was revealed.
• The buyer provided an incompatible system and the product description was accurate.
• The buyer violated seller usage terms after receiving the product.

9.2 Dispute Process

• Disputes must be submitted through the Order page within 72 hours of the product reveal date.
• Our admin team will review evidence from both buyer and seller and issue a resolution within a reasonable timeframe.
• Admin decisions on disputes are final and binding.
• Approved refunds will be returned to the buyer's original payment method. Seller ledger will be debited for approved refund amounts.

• All platform content, trademarks, logos, designs, and software code are the exclusive property of Khmer Digital or its licensors.
• You may not copy, reproduce, distribute, or create derivative works from our platform content without written permission.
• Sellers retain ownership of their original product content but grant Khmer Digitala non-exclusive, royalty-free license to display, promote, and distribute that content on the platform.

Your use of Khmer Digital is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to our collection and use of data as described in the Privacy Policy.

To the maximum extent permitted by applicable law:

• Khmer Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill.
• Our total cumulative liability to you for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the total fees you paid toKhmer Digital in the twelve (12) months preceding the event giving rise to the claim.
• Khmer Digital is not liable for seller misconduct, invalid Digital Products, or third-party service failures (e.g., payment providers, cloud storage).
• We do not guarantee continuous, uninterrupted, or error-free platform operation. Scheduled and emergency maintenance may cause temporary unavailability.

You agree to defend, indemnify, and hold harmless Khmer Digital, its directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms.
• Your use or misuse of the platform.
• Any Digital Products you list or sell, including claims of intellectual property infringement or product invalidity.
• Your violation of any applicable law or the rights of a third party.

• We may suspend or terminate your account at any time, with or without cause, and with or without notice, if we believe you have violated these Terms.
• You may terminate your account by contacting us at sattyphap@gmail.com. Termination does not relieve you of obligations (e.g., unfulfilled orders, pending disputes).
• Upon termination, any pending seller ledger balance will be reviewed. Approved balances will be paid out in accordance with our payout process, minus any outstanding liabilities.
• Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Phnom Penh, Cambodia, unless we agree to an alternative dispute resolution mechanism.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the platform after the updated Terms are posted constitutes your acceptance of the changes.

We recommend reviewing this page periodically. If you disagree with any changes, you must discontinue use of the platform.
