Seller Agreement

1. Seller Eligibility

• You must be 18 years or older and legally capable of entering contracts.
• Seller accounts require admin approval before going live. We may reject applications at our discretion.
• You must provide accurate identity and business information during the approval process.
• Re-application after rejection is permitted after 30 days, with a valid explanation of how previous concerns were addressed.

2. What You Can Sell

You may only sell Digital Products that:

• You legally own or have the right to sell.
• Are listed under an admin-approved category.
• Have been approved by our admin team before publishing.
• Do not infringe on third-party intellectual property rights.
• Are not prohibited by Cambodian law or our prohibited items list.

Prohibited items include (non-exhaustive):

• Stolen accounts or credentials obtained without authorization.
• Pirated software, cracked license keys, or counterfeit product codes.
• Items that facilitate illegal activities (hacking tools, malware, etc.).
• Adult content without explicit platform authorization.
• Gambling credits or currency used on unlicensed gambling platforms.

3. Commission and Fees

• Khmer Digital charges a 2% commission on the gross sale price of every successfully completed order item.
• Commission is automatically deducted from your ledger credit at the time of sale. You are credited the net amount.
• Commission rates may be updated with 30 days' notice. The rate in effect at the time of a sale applies to that sale.
• In the event of an approved buyer refund caused by invalid inventory, the commission credited for that sale will also be reversed.

4. Inventory Quality Obligations

• You must ensure all inventory items (keys, credentials, codes) are valid, functional, and accurately described at the time of upload and sale.
• Uploading known-invalid, expired, revoked, or already-sold inventory is strictly prohibited.
• If a buyer reports an invalid item and our team confirms it is defective, a refund will be debited from your seller ledger.
• Sellers with an invalid item rate exceeding 5% of total sales in any 30-day period may be placed on a probationary hold pending review.
• You are responsible for removing or disabling listings when your inventory runs out. Allowing an out-of-stock product to appear available is a policy violation.

5. Payout Terms

• You may request a payout of your available ledger balance through the Seller Dashboard.
• Payout requests are reviewed and approved by our admin team. We do not guarantee any specific payout timeline.
• Minimum payout amount and supported payment methods are specified in the Seller Dashboard.
• Payouts may be withheld during active dispute investigations, compliance reviews, or if we suspect fraud involving your account.
• You must ensure your payout account information is accurate. Khmer Digital is not liable for failed payouts caused by incorrect information you provided.
• Upon account termination, any approved outstanding balance will be paid out after a 30-day hold period, subject to resolution of any open disputes or liabilities.

6. Seller Conduct

• Do not contact buyers outside the platform to solicit direct transactions and avoid fees.
• Do not manipulate reviews, ratings, or sales metrics.
• Do not create fake orders or engage in wash trading.
• Respond to dispute requests cooperatively and in good faith.
• Keep your product listings and inventory information current and accurate.
• Do not attempt to operate multiple seller accounts without written authorization fromKhmer Digital.

7. Suspension and Termination

We may suspend or terminate your seller account without prior notice if you:

• Repeatedly upload invalid inventory.
• Violate any term of this agreement or the main Terms of Service.
• Are subject to a legal investigation or court order.
• Engage in fraudulent activity.
• Have an excessively high refund or dispute rate.

Upon suspension, access to your seller dashboard will be restricted. Any pending payout will be placed on hold pending final account review.

8. Representations and Warranties

By operating as a seller, you represent and warrant that:

• All information you provide to Khmer Digital is accurate, truthful, and up to date.
• You have full legal right to sell all Digital Products you list on the platform.
• Your Digital Products do not infringe on the intellectual property rights of any third party.
• You will comply with all applicable Cambodian laws and regulations in conducting your sales activity.
